Terms of Use
heyteo AG – Virtual Concierge
Version 2.0 · Effective from 21 May 2026
This document, together with the linked appendices, forms the full agreement between heyteo AG (“Provider”) and the customer (“Partner”). By using the services or confirming an order, the Partner agrees to these terms.
1. Provider

The Partner and their contact details are recorded in the order confirmation by email, which is an integral part of this agreement.
2. Ordered Services
2.1 Software Agent
heyteo provides the Partner with the following software agent:
Virtual Concierge: AI-powered chat service via WhatsApp, available 24/7, multilingual
Automatic response to approx. 90% of all standard enquiries
Integration with reservation and booking systems (by arrangement)
Proactive outbound communication and performance dashboard
2.2 Project Phases
Setup phase | Duration: 4 weeks from order confirmation. |

3. Prices and Payment
The setup fee (one-off) and licence price are recorded in the order confirmation by email. All prices are exclusive of statutory VAT, in Swiss francs (CHF).
Billing cycle option:
(a) Monthly billing: Licence price monthly, paid in advance. First payment (setup + 1st licence month) today, then monthly automatically.
(b) Annual prepayment: 12 months in advance, with a 10% discount on the licence price in year 1. First payment (setup + licence year 1) today, then annually at the regular price. The choice is made in the order confirmation.
3.1 Payment terms
Initial payment (due today): setup fee + first licence period (1st month with a monthly subscription or year 1 with an annual subscription). Also due if the Partner does not successfully complete the setup phase.
Licence price (monthly, from month 2): automatically charged 30 days after the initial payment, then monthly.
Licence price (annually, from year 2): automatically charged 12 months after the initial payment at the regular price (without the 10% discount).
Payment by credit card via Stripe payment link (setup + licence in one payment) or by QR payment slip (combined invoice).
Payment by bank transfer possible: UBS AG, IBAN CH45 0028 7287 1397 9401 Z, Beneficiary: heyteo AG, Steigstrasse 18, 8463 Benken.
Default interest for late payment: 5% p.a.
4. Term and Termination
Term | Monthly, starting with commencement of the licence phase (after completion of the setup phase). |

Termination | Possible at any time with 1 month's notice to the end of a month. In writing by email to chris.einsele@heyteo.com. |
Extraordinary termination | In the event of a material breach of contract by the other party, provided this is not remedied within 30 days after written notice. |
Pro-rata refund | For annual prepayment and termination before the end of the contract year, a pro-rata refund will be made. |
5. heyteo Circle (Referral Programme)
For each successfully referred new customer during the licence phase, the Partner receives one free month (no licence fee). Payment out or transfer of the free month is excluded. In the event of disagreement, heyteo decides on the application of the programme unilaterally and conclusively.
6. Marketing
heyteo is entitled to mention the Partner on its communication channels (website, social media, newsletter, presentations) and to use its logo. The Partner may revoke this use in writing at any time. Publication of performance data and case studies takes place after prior coordination with the Partner.
7. Data Protection
Data processing is carried out in accordance with the applicable data protection laws (FADP, GDPR). heyteo acts as processor on behalf of the Partner. The personal data processed includes in particular:
First and last name, mobile phone number, language
Reservation and event data, enquiries and preferences
Conversation history, derived guest profile

Subcontractors (processors): OpenAI Ireland Ltd., Google Ireland Ltd., Twilio Inc., WhatsApp Ireland Ltd., XIAG AG.
8. Rights, Duties and Liability
8.1 Ownership
heyteo remains the sole owner of the software, agents and all service technology. The Partner is granted a limited, revocable, non-transferable licence for operational use for the duration of the agreement. The Partner retains ownership of its content and user data (including WhatsApp communication).
8.2 Duties of the Partner
Grant access to necessary information and systems.
Obtain user consent for data processing (heyteo provides templates).
No manipulation, no reverse engineering of the software.
Do not transfer health data or particularly sensitive personal data.
8.3 Limitation of liability
The total liability of each party is limited to the amount of the ordered services (max. 12 months). Indirect damages and loss of profit are excluded. Exceptions: intent and gross negligence.
9. Acceptance and Entry into Force
By using the services or confirming an order (by email, click or payment), the Partner declares its agreement with these terms of use and the DPA. A separate signature process is not required.
This agreement enters into force upon order confirmation by heyteo. The setup phase starts immediately and lasts 4 weeks. The contract term (licence phase) begins upon completion of the setup phase and is terminable monthly in accordance with clause 4, irrespective of the chosen billing cycle.
